Organisational, Management and Control Model pursuant to Legislative Decree 231/2001 and Whistleblowing Channel
On 13 June 2025, the Company adopted an Organisational, Management and Control Model pursuant to Legislative Decree No. 231/2001, aimed at preventing unlawful conduct and fostering a culture of legality, integrity, and transparency in corporate governance.
The Model sets out the principles and rules of conduct that govern the Company’s operations and apply to all individuals acting on behalf of or in cooperation with the Company. It is complemented by a Code of Ethics, which outlines the core values and ethical standards that guide the Company’s activities.
A dedicated whistleblowing channel has also been implemented to allow for the confidential reporting of any behaviour that may violate the Model, the Code of Ethics, or applicable laws and regulations.

This mailbox is managed exclusively by the Supervisory Body, which ensures the confidentiality of the information received and provides protection to the whistleblower against any form of retaliation or unfair treatment.
The channel is intended for substantiated reports made in good faith. Unfounded, malicious, or opportunistic reports will not be considered.
The 231 Model and the Code of Ethics are available for consultation at the Company’s registered office and can also be provided upon request.
